Agency Partner Program Terms and Conditions

The SuiteDash Agency Partner Program (the “Program”) is operated by SuiteDash Services, LLC (“SuiteDash,” “we,” “us,” or “our”). The Program connects SuiteDash customers (“Customers” or “you”) with independent agencies and consultants (“Agency Partners”) who have demonstrated working knowledge of the SuiteDash platform.

Participation in the Program, including browsing Agency Partner listings, contacting Agency Partners, or engaging Agency Partners for services, constitutes your acceptance of these Terms and Conditions. If you do not agree to these terms, do not use the Program.

1. Agency Partners Are Independent Third Parties

Agency Partners are independent businesses and individuals. They are not employees, contractors, agents, representatives, joint venturers, or affiliates of SuiteDash. No Agency Partner has any authority to act on behalf of SuiteDash, bind SuiteDash to any obligation, or make representations or warranties on behalf of SuiteDash.

Any agreement, arrangement, or understanding between you and an Agency Partner is strictly between you and that Agency Partner. SuiteDash is not a party to any such agreement and has no obligations or liabilities arising from it, regardless of how the introduction was made or whether SuiteDash suggested or recommended the Agency Partner to you.

2. No Warranty or Guarantee

SuiteDash does not guarantee, warrant, or make any representation regarding any Agency Partner’s qualifications, competence, reliability, availability, pricing, work quality, deliverables, timeliness, financial stability, or fitness for any particular purpose.

While Agency Partners may have demonstrated familiarity with the SuiteDash platform as a condition of their listing, this does not constitute a certification, endorsement, or guarantee of any kind. Listing in the Program is not a recommendation to hire. SuiteDash may use AI-based matching or other methods to suggest potential fits between Customers and Agency Partners, but such suggestions are informational only and carry no warranty or guarantee of compatibility or outcome. You should not rely on any such suggestion as a substitute for your own independent evaluation.

SUITEDASH EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, WITH RESPECT TO ANY SERVICES PROVIDED BY ANY AGENCY PARTNER, THE PROGRAM ITSELF, OR ANY INFORMATION, SUGGESTIONS, OR RECOMMENDATIONS PROVIDED THROUGH THE PROGRAM. THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUITEDASH SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND ARISING OUT OF OR RELATING TO ANY INTERACTION, ENGAGEMENT, OR TRANSACTION BETWEEN YOU AND ANY AGENCY PARTNER, REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY. This includes, without limitation, damages arising from:

Lost revenue, lost profits, or lost business opportunities resulting from an Agency Partner’s acts, omissions, or failures;
Damage to your SuiteDash account, data, business operations, or reputation caused by an Agency Partner’s work or conduct;
Misrepresentations made by an Agency Partner regarding their skills, experience, or the results they can achieve;
Any dispute between you and an Agency Partner, including disputes over payment, scope of work, deliverables, timelines, or quality;
Any unauthorized access to, modification of, or damage to your data or account by an Agency Partner;
Any decision you make based on SuiteDash’s listing, suggestion, or matching of an Agency Partner;
Any failure by an Agency Partner to perform services, complete a project, or meet any commitment.

THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH A CLAIM IS BASED, WHETHER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF SUITEDASH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SUITEDASH’S TOTAL AGGREGATE LIABILITY TO YOU IN CONNECTION WITH THE PROGRAM EXCEED ONE HUNDRED DOLLARS ($100).

4. Assumption of Risk

You acknowledge and agree that engaging an Agency Partner involves inherent risks, including but not limited to the risk of unsatisfactory work, missed deadlines, cost overruns, miscommunication, data exposure, and financial loss. You voluntarily assume all such risks when you contact, hire, or engage any Agency Partner through the Program. SuiteDash bears no responsibility for any adverse outcome arising from your engagement with an Agency Partner.

5. Your Responsibility

You are solely responsible for evaluating and selecting any Agency Partner, negotiating terms, defining scope of work, and overseeing any engagement. SuiteDash strongly recommends that you:

Conduct your own due diligence before hiring any Agency Partner, including reviewing portfolios, checking references, and verifying credentials independently;
Execute a written agreement with the Agency Partner that clearly defines scope, deliverables, timelines, payment terms, intellectual property ownership, confidentiality obligations, and termination rights before any work begins;
Maintain your own backups of all account data before granting any Agency Partner access to your SuiteDash account;
Limit Agency Partner access permissions to only what is necessary for the agreed scope of work;
Monitor the Agency Partner’s work within your account throughout the engagement;
Revoke Agency Partner access promptly upon completion or termination of any engagement.

Your failure to take any of the precautions listed above shall not create any liability on the part of SuiteDash.

6. Account Access and Security

Agency Partners operate within your SuiteDash account on your behalf and at your direction. When you grant an Agency Partner access to your account, you assume full responsibility for any and all actions they take within your account, including any changes to your configuration, data, workflows, or integrations, and including any damage, data loss, or unauthorized activity that occurs as a result.

Agency Partners can only use the existing functionality of the SuiteDash platform. They cannot make modifications to the SuiteDash platform itself, alter its features, or create custom functionality outside the platform’s existing capabilities.

You are responsible for revoking an Agency Partner’s access promptly upon completion or termination of any engagement. SuiteDash is not responsible for monitoring, restricting, or controlling an Agency Partner’s actions within your account.

7. Dispute Resolution Between You and Agency Partners

Any disputes arising between you and an Agency Partner are strictly between you and that Agency Partner. SuiteDash is not required to intervene, mediate, arbitrate, investigate, or otherwise participate in any dispute. While SuiteDash may, at its sole discretion, attempt to facilitate communication between parties, any such effort is purely voluntary, does not create any obligation, and should not be relied upon as a dispute resolution mechanism.

You agree not to assert any claim, demand, action, or cause of action against SuiteDash arising from or related to a dispute with an Agency Partner, and you acknowledge that SuiteDash’s voluntary involvement (or lack thereof) in any dispute does not create liability on SuiteDash’s part. If you breach this provision by naming SuiteDash in any action or asserting any claim against SuiteDash in connection with an Agency Partner dispute, you shall be liable for all of SuiteDash’s costs and expenses, including reasonable attorneys’ fees, incurred in connection with such action, regardless of the outcome.

8. Removal and Suspension of Agency Partners

SuiteDash reserves the absolute right to remove, suspend, or restrict any Agency Partner from the Program at any time, for any reason or no reason, at our sole discretion, without prior notice to you or the Agency Partner. This right exists regardless of whether any complaint has been filed or any wrongdoing has been determined.

SuiteDash’s decision to remove or retain an Agency Partner does not constitute a finding of fault, a judgment on the merits of any dispute, or an endorsement of either party’s position. You should not rely on an Agency Partner’s continued listing in the Program as evidence of their reliability or quality. SuiteDash has no obligation to notify you if an Agency Partner you have previously engaged is removed from the Program.

9. Indemnification

You agree to indemnify, defend, and hold harmless SuiteDash Services, LLC, its parent, subsidiaries, affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and costs of litigation, settlement, and enforcement) arising out of or relating to: (a) your engagement with any Agency Partner, including any claims brought by you, the Agency Partner, or any third party in connection with services performed by an Agency Partner; (b) your failure to conduct adequate due diligence before engaging an Agency Partner; (c) your failure to maintain adequate backups or access controls; (d) any dispute between you and an Agency Partner; or (e) your breach of these Terms and Conditions.

Your indemnification obligations under this section are uncapped and survive termination of your use of the Program.

10. Agency Partner Claims and Assurances

SuiteDash cannot be bound by any claims, promises, representations, warranties, or assurances made by any Agency Partner, whether relating to the SuiteDash platform, the results they can achieve, or otherwise. If an Agency Partner makes a representation about SuiteDash’s platform capabilities, pricing, policies, or any other aspect of SuiteDash’s business, you should verify such information directly with SuiteDash. Your reliance on any Agency Partner’s representations about SuiteDash is at your own risk and does not create any liability or obligation on the part of SuiteDash.

11. Waiver of Class Action

You agree that any dispute arising under these Terms and Conditions shall be conducted solely on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in any class, consolidated, or representative proceeding against SuiteDash in connection with the Program.

12. Modification of Terms

SuiteDash reserves the right to modify these Terms and Conditions at any time without prior notice. Your continued use of the Program following any changes constitutes acceptance of the modified terms. We encourage you to review these terms periodically. 13. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you irrevocably consent to the personal jurisdiction and venue of such courts. To the fullest extent permitted by law, you waive the right to trial by jury in any legal proceeding arising out of or relating to these Terms and Conditions.

14. Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms and Conditions constitute the entire agreement between you and SuiteDash regarding the Agency Partner Program and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, with respect to the subject matter hereof.

By using the SuiteDash Agency Partner Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
